Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Attendee," "Exhibitor," or "you") and the following entities (collectively referred to as "we," "us," "our," or the "Organization"):

• The Fence Show & Security Expo
• Demo Days
• FWA (Fence Workers Association)
• All parent companies, subsidiaries, affiliated entities, partners, sponsors, contractors, agents, officers, directors, employees, and representatives

By using this website, registering for any event, purchasing booth space, creating an exhibitor profile, listing products, or otherwise engaging with our services, you expressly agree to these Terms in their entirety.

Your continued use of our services constitutes ongoing acceptance of these Terms and any modifications thereto.

• Cancellation by the exhibitor for any reason
• Inability to attend due to scheduling conflicts, travel issues, or emergencies
• Business closure, bankruptcy, or change of ownership
• Dissatisfaction with booth location, size, or neighboring exhibitors
• Event cancellation, postponement, or modification due to force majeure events (including but not limited to natural disasters, pandemics, government orders, civil unrest, or acts of God)
• Technical difficulties, power outages, or facility issues during the event
• Lower than expected attendance or foot traffic
• Any other circumstance, foreseeable or unforeseeable

Booth Assignment: We reserve the right to assign, reassign, or relocate booth spaces at our sole discretion. Exhibitors will be notified of any changes but are not entitled to refunds or compensation due to booth reassignment.

Exhibitor Conduct: We reserve the right to remove any exhibitor from the event without refund for violation of event rules, inappropriate conduct, misrepresentation of products or services, or any behavior deemed detrimental to the event or other participants.

Setup and Teardown: Exhibitors must adhere to designated setup and teardown times. Early teardown may result in forfeiture of future participation privileges.

No Guarantees or Warranties

• We make no guarantees or warranties regarding return on investment (ROI), lead generation, sales, or any other business outcomes
• Sponsorship does not guarantee any specific quantity of impressions, exposure, attendee engagement, or foot traffic
• Results from sponsorship participation vary and are not guaranteed in any form
• Testimonials or past performance are not indicative of future results

Placement and Marketing Materials

• Placement, positioning, and location of sponsorship marketing materials, signage, branding, or other deliverables may be changed at the sole discretion of show management at any time without prior notice
• While we strive to honor placement preferences, final decisions rest with event management based on venue requirements, safety considerations, and operational needs
• Digital placements including website positioning, email placement, and social media scheduling are subject to change based on content and design requirements

Design Review and Approval

• Show management reserves the right to review, approve, deny, or request modifications to any designs, artwork, logos, messaging, or other sponsor-submitted materials at any time without prior notice
• Materials deemed inappropriate, offensive, misleading, or inconsistent with event branding may be rejected or modified
• Sponsors are responsible for providing print-ready artwork meeting specified requirements and deadlines
• Failure to provide acceptable materials by deadlines may result in forfeiture of placement without refund

Removal and Termination

Show management reserves the right to terminate any sponsorship agreement and remove sponsor materials, branding, or presence from the event without refund for any of the following reasons:

• False representation of company, products, services, or affiliations
• Illegal activities, products, or services
• Content or conduct deemed morally objectionable, offensive, or in conflict with the values and image of the show
• Violation of event rules, policies, or these Terms and Conditions
• Actions or content that may bring the show, its organizers, sponsors, or participants into disrepute
• Competitive conflicts or actions detrimental to other sponsors or exhibitors
• Any other reason at the sole discretion of show management

Important: No refunds will be issued, in full or in part, for any unused, modified, or removed sponsorship benefits regardless of the reason for removal or termination.

Changes to Sponsorship Programs

We reserve the right to modify, discontinue, or change sponsorship offerings, benefits, pricing, availability, and terms at any time. Changes to future offerings do not entitle current sponsors to modifications of their existing agreements or refunds.

By registering for any of our events, you acknowledge and agree that:

• No refunds will be issued for cancellation, no-show, or inability to attend for any reason
• Passes are for the registered individual only and may not be transferred or resold
• We reserve the right to refuse admission or remove any attendee without refund for violation of event policies, disruptive behavior, or any reason at our sole discretion
• Event schedules, speakers, exhibitors, and activities are subject to change without notice
• We are not responsible for travel, accommodation, or other expenses incurred by attendees

Event Modifications: In the event of cancellation or postponement, we may, at our sole discretion, offer credit toward future events, but are under no obligation to do so. Any such credit shall be subject to terms determined by us at the time of issuance.

Photography and Recording: By attending our events, you consent to being photographed, filmed, or recorded. Such media may be used for promotional, marketing, or archival purposes without compensation to you.

Our platform allows exhibitors to create company profiles, list products, and showcase their services. By utilizing these features, exhibitors and users acknowledge and agree to the following:

No Warranty or Guarantee

• We do not warrant, guarantee, endorse, or assume responsibility for any products, services, or information listed by exhibitors on our platform
• We make no representations regarding the quality, safety, legality, accuracy, or fitness for any purpose of any exhibitor's products or services
• Any transactions, agreements, or disputes between users and exhibitors are solely between those parties
• We are not a party to any sale, purchase, or transaction conducted through or as a result of our platform

Exhibitor Responsibilities

• Exhibitors are solely responsible for the accuracy and legality of all information, images, and content they provide
• Exhibitors must comply with all applicable laws, regulations, and industry standards
• Exhibitors are responsible for fulfilling any orders, honoring warranties, and resolving disputes with customers
• We reserve the right to remove, modify, or refuse any exhibitor listing at our sole discretion without notice

User Acknowledgment

Users accessing exhibitor information, contacting exhibitors, or purchasing products do so at their own risk. We strongly recommend conducting due diligence before entering into any business relationship or transaction with any exhibitor listed on our platform.

By uploading, submitting, or transmitting any content to our platform, you acknowledge and agree that:

• You retain responsibility for maintaining your own backups of all data and content
• We make no guarantees regarding data retention, availability, or security
• We may delete, modify, or remove any user content at any time without notice
• We are not liable for any damages, losses, or consequences arising from data loss, system failures, security breaches, or technical errors
• You grant us a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute your content for purposes related to our services and marketing
• You represent that you have all necessary rights and permissions for any content you upload

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE ORGANIZATION, INCLUDING THE FENCE SHOW & SECURITY EXPO, DEMO DAYS, FWA, AND ALL AFFILIATED ENTITIES, SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES, ATTENDANCE AT OUR EVENTS, OR ANY TRANSACTIONS WITH EXHIBITORS
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
• WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND

This limitation applies to all claims, whether based on warranty, contract, tort, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless The Fence Show & Security Expo, Demo Days, FWA Fence Workers Association, and all affiliated entities, including their respective officers, directors, employees, agents, contractors, sponsors, and representatives, from and against any and all claims, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of our services or attendance at our events
• Your violation of these Terms or any applicable law or regulation
• Your content, products, or services (for exhibitors)
• Any dispute or claim between you and any third party, including other exhibitors or attendees
• Any injury, damage, or loss occurring at our events
• Your negligence, willful misconduct, or breach of these Terms

This indemnification obligation shall survive the termination of these Terms and your relationship with us.

By using our website and services, you represent and warrant that:

• You are at least 18 years of age or the age of majority in your jurisdiction, whichever is greater
• If you are under 18, you may only use our services with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms
• You have the legal capacity to enter into binding agreements

Event Attendance: Certain events or areas may have additional age restrictions. Attendees under 18 years of age must be accompanied by a parent or legal guardian at all times. We reserve the right to verify age and refuse admission to anyone who does not meet age requirements.

Account Registration: You must be at least 18 years old to create an account, register as an exhibitor, or make purchases on our platform.

All content, trademarks, service marks, logos, and intellectual property on this website and associated with our events, including but not limited to "The Fence Show & Security Expo," "Demo Days," "FWA," "Fence Workers Association," "#FenceFam," and all related graphics, designs, and materials, are owned by or licensed to us and are protected by intellectual property laws.

• You may not use, reproduce, modify, distribute, or display any of our intellectual property without prior written consent
• Limited, non-exclusive use may be granted for promotional purposes related to event participation, subject to our brand guidelines
• Exhibitors retain ownership of their own trademarks and content but grant us a license to display such content on our platform

It is your responsibility to review these Terms periodically for changes. Your continued use of our services after any modifications constitutes acceptance of the updated Terms.

We are not obligated to notify users of changes to these Terms. The "Last Updated" date at the top of this page indicates when these Terms were last revised.

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which our principal place of business is located, without regard to conflict of law principles.

Dispute Resolution: Any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

Class Action Waiver: You agree to resolve any disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

Venue: Any legal proceedings shall take place in the state and county of our principal place of business, and you consent to personal jurisdiction in such courts.
